VP - General Counsel & Corporate Secretary (Partner)

Overview

CVSA is seeking a high-caliber strategic growth leader to serve on the Executive Leadership Team and Board to serve as its General Counsel and Corporate Secretary. This position is designed to be a combination of growth, compliance, and build a solid foundation of credibility.

  • Strong client-facing legal background in a partnership / shareholder capacity.

  • Direct report to CEO, Board of Directors and Investment Committee

  • Demonstrated ability to drive business strategy, evaluate growth opportunities and mitigate short- and long-term risk.

  • Heavy experience in health care law, including MedMal, claims management, contract negotiations with physician groups and healthcare institutions.

  • Desire to join a mature and funded business with committed capital to drive further growth through organic partnerships or acquisitions.

  • Remote but will accommodate as much travel as necessary to facilitate integration, collaboration and interface.

  • Salary draw (bi-weekly) to cover administrative needs and enable full benefits (PPO - Health, Dentistry, Vision, and Profit Sharing Contribution),

  • Partnership equity interest (to be discussed) - Loan to cover capital contribution.

  • Guaranteed cash draw amount for first three years.

  • Ability to hire support staff for both administrative (Personal Assistant) and strategic needs (Chief Operating Officer, Attorney Support, etc.)

Strategic Mandates:

  • Oversee and negotiate clinical affiliation agreements to drive revenue growth and expand surgical first-assist services at top=tier institutions.

  • Design and implement a corporate compliance program to support a strong culture of governance, transparency and institutional control.

    IPO Readiness: Engage external blue-chip law firm to assist with IPO-readiness

Compensation & Benefits:

  • Base draw of $250,000 per year split between 12 equal payments per month. Total cash comp per partner in FY2023 was $363,000 (not including benefits and other non-cash compensation).

  • Loan at SOFR -200 bps to purchase partnership units

  • Equity bonus payouts on a quarterly basis

  • Tax preparation services

Jamie Vaney, JD, MBA

Jamie is a former Certified Surgical First Assistant who changed careers to finance after 5+ years scrubbing on open=heart teams. She obtained her MBA from Stanford’s Graduate School of Business (GSB) and her JD from Stanford Law School. After graduating, she spent 6 years at Wilson Sonsini where she worked in the firm’s corporate group focusing on M&A transactions, IPO-readiness and SEC compliance.

Justine Coudry, MBA

Justine obtained both her undergraduate degree in finance and MBA from the Wharton School at the University of Pennsylvania. Prior to entering business school, she worked in the healthcare sector at Morgan Stanley where she focused on taking provider groups public, negotiating M&A transactions, and refinancing debt. She joined CVSA as a Director in the Corporate Development group focused on key strategic growth initiatives.
